ONLINE TERMS AND CONDITIONS AND CUSTOMER AGREEMENT

The Terms and Conditions following constitute an agreement between You and Olrik Pty. Ltd. (ABN 29 124 836 728) ("Olrik Denmark"). Please read them carefully as they set out the Terms and Conditions under which You may purchase products online from Olrik Denmark. By completing the customer subscription application process and using the Olrik Denmark online facility You agree to be bound by the Terms and Conditions of this agreement.

1. Definitions
In these conditions:
"agreement" means an agreement between You and Olrik Denmark comprising Your order and these Terms and Conditions (as amended from time to time) pursuant to which You use this website and purchase goods from the product list.
"Conditions" means these Terms and Conditions and any agreed variations from time to time notified to You in writing.
"Delivery Address" means the address to which the goods are to be delivered as stated on the Order.
"Delivery Costs" means the cost to deliver the goods to the Delivery Address in accordance with the delivery costs outlined in the purchase order and which may be varied from time to time and should be regularly reviewed by You.
"Goods" means Goods described in an Order and includes the packaging or get up of those goods.
"Intellectual Property Rights" includes all rights in respect of copyright, trademarks, patents, designs, protection of confidential information and web layouts, whether arising under Statute or otherwise.
"Order" means an order by You to purchase goods from Olrik Denmark.
"Product List" means the list of goods displayed on this website as amended from time to time.
"Product(s)" means any Goods contained in the Product List.
"Website" means internet website with the URL www.olrikdenmark.com and associated or linked websites conducted by Olrik Denmark.
"You" means the user of the website (and "Your" has the corresponding meaning).

2. Agreement
The entire agreement between You and Olrik Denmark for the purchase of Goods by You from Olrik Denmark comprises:
(a) these Terms and Conditions; and
(b) the Terms of Your Order.

An agreement exists between You and Olrik Denmark once:
(a) Olrik Denmark receives the Order and does not reject it before confirming dispatch of the Order.
(b) Olrik Denmark confirms and accepts an Order by emailing You with confirmation of receipt of the Order and You receive an email confirming dispatch of the Order; and

Until confirmation of dispatch of the Order Olrik Denmark may reject Your Order and refund any payment made by You.
Each Order is a separate agreement.
In the event You owe money to Olrik Denmark under one agreement Olrik Denmark may set off that money against any money that You owe to it under another agreement.

3. Customer Application/Subscription
Before You place an initial Order for Goods with Olrik Denmark You must fully complete a customer application/subscription. You must also warrant to Olrik Denmark that all information and details provided by You in that application are accurate, complete and current. As this information will be relied upon by Olrik Denmark in processing subsequent Orders You must promptly notify Olrik Denmark of any change to this information.

Any costs associated with accessing the Olrik Denmark website and placing Orders for Goods on this website including, but not limited to, internet provider fees are Your sole responsibility.

4. Orders and Delivery
Olrik Denmark may at its discretion impose limitations on the quantities and/or monetary value of Goods which are the subject of any Order received online. You must not re-sell the Goods to any third party unless You first obtain agreement from Olrik Denmark in writing.

Olrik Denmark can arrange delivery to major cities and towns both nationally (within Australia) and internationally and in doing so utilises the services of third party service providers such as couriers and shipping companies. The charges for delivery are outlined clearly in the online order forms and will be added to the price of the Goods.

Olrik Denmark will upon acceptance of Your Order endeavour to deliver the Goods to You at the delivery address within seven working days for addresses within Australia and within ten working days for international deliveries. Whilst every effort will be made by Olrik Denmark to comply with these time frames they can not be guaranteed and Olrik Denmark will not accept any responsibility to You for any loss or damage You may suffer by reason of any delay in delivery.

Anyone at the delivery address who receives the Goods shall be presumed by Olrik Denmark to be authorised to receive the Goods. Olrik Denmark may request that the person who receives the Goods at the delivery address provides satisfactory evidence of identity. Olrik Denmark may refuse to deliver the Goods if the person receiving the Goods is unable or unwilling to provide satisfactory evidence of identification.

If there is no-one at the delivery address when the Order is delivered Olrik Denmark may charge You and You must pay an additional delivery fee if a further delivery attempt is made. If delivery is not possible Olrik Denmark will arrange return of the Goods to it and after deducting all delivery or shipping costs and any relevant taxes and duties, will refund the purchase price to You.

5. Pricing and Payment
The price of the Goods specified in the product list is the price which is applicable at the time You view it and place Your Order.
You also agree to pay the delivery cost in respect of each Order.

Products in Your Order are charged at the price applicable at the time You submitted Your Order and as shown in Your order confirmation and are inclusive of GST. GST of the amount of 10% of the product cost is included to the purchase price for all Goods in respect of Orders placed in Australia or delivered to an Australian delivery address. GST is not applicable to Orders originating outside Australia and for delivery outside Australia, however international Orders may be subject to local taxes and duties depending on the jurisdiction from which the Order is made.

Payment for all purchases must be made at the time of You submitting each order and can only be made by credit card. Olrik Denmark accepts Visa, Mastercard, American Express and Diners Club cards.

At the time of each Order You will be required to re-enter Your credit card details and in doing so You warrant to Olrik Denmark that You are an authorised user of the credit card used to complete payment for each Order.

All Orders paid by credit card are settled in Australian Dollars ("AUD"). This will not prevent You from placing orders outside Australia even though Your credit card provider may bill You in a different currency as the currency of Your account will automatically be converted to AUD when You complete each purchase transaction.

The final charge to Your credit card account and the conversion rate applied will be determined from day to day by Your credit card provider in accordance with currency rate fluctuations.
Some providers also charge a currency conversion fee and You must contact Your bank or credit card provider for such details.

Olrik Denmark takes no responsibility if the final amount charged to Your account differs from the amounts set out in the product list or elsewhere on this website.

Olrik Denmark may upon giving You prior reasonable notice of price changes or discrepancies request payment based on such varied prices. You may cancel Your Order upon notification of a price increase provided You do so not later than 24 hours following receipt of such notice.

Olrik Denmark may at the time of confirmation of receipt of Your Order request You to provide additional proof of identification such as a copy of Your drivers licence or passport before accepting Your Order by dispatching the Goods and may withhold dispatch of the Goods until suitable identification is provided.

Olrik Denmark may decide at any time not to accept payment from You by credit card for any reason including if Your credit card is declined by Your financial institution or credit card provider. If Olrik Denmark decides not to accept payment by credit card Olrik Denmark will not process Your Order and will not contact You to advise You that Your Order will not be processed. Olrik Denmark may, in its absolute discretion, process this Order or further Orders if You agree to make payment by another method that is acceptable to Olrik Denmark. Olrik Denmark will not be required to give reasons when it declines to accept payment from You by credit card.

6. Risk and Ownership in the Goods
Upon delivery and payment of the Goods to the delivery address ownership and risk in the Goods passes to You.

7. Returns or Refunds
If You are not satisfied with the quality of the Goods or if they are faulty or damaged You may return the Goods for repair, exchange or refund at the discretion of Olrik Denmark in accordance with the following:

(a) notification must be given by You to Olrik Denmark within 24 hours of receipt of the Goods. That notification must include details of the nature of the quality issue, flaw or damage and the Goods must be returned to Olrik Denmark within three days of Your notification;
(b) notification to Olrik Denmark must be made by email to support@olrikdenmark.com at which time You will be provided with a "Returns ID Number";
(c) Your Returns ID Number and appropriate proof of purchase by way of credit card statement, Olrik Denmark email order confirmation or delivery docket must be provided when returning Goods;
(d) returns must be made utilising Olrik Denmark approved courier or shipping services and a courier authorisation number obtained from support@olrikdenmark.com to:

(e) if Goods are being returned from outside Australia it is essential for You to clearly note on the courier's dispatch or consignment note that the Goods are being returned for replacement to avoid the possibility of additional customs duty or taxes being charged;
(f) provided the returns process is followed Olrik Denmark will meet all associated transport costs and will then either refund the purchase price in full, repair or replace the Goods as soon as is reasonably practicable;
(g) if Olrik Denmark agrees to refund the purchase price to You the refund will only be credited to the credit card account used in connection with the original purchase order and will be processed by Olrik Denmark within fourteen days of return;
(h) replacement of goods is subject to availability of the same item and style and repair of goods will be undertaken at the cost of Olrik Denmark and in accordance with the same delivery terms as for purchases and at the cost of Olrik Denmark;
(i) returns cannot be made or accepted directly through any Olrik Denmark retail store.

8. Presentation and Care of Goods
Olrik Denmark will at all times endeavour to include in the product list up to date pictures, representations or descriptions of the goods. At times the picture of the goods on the product list and displayed on Your computer monitor may differ from the goods actually supplied to You, for example in colour or the fine detail of finishes. Olrik Denmark does not warrant the accuracy of the depiction of the goods or the information contained in the product list.

Olrik Denmark recommends that You read the labels on all goods carefully before using them to ensure You are fully aware of the particular quality of the goods and any specific care or maintenance instructions. Olrik Denmark will not accept any liability for damage or destruction of the goods by reason of any failure by You to care for or maintain the goods in accordance with those instructions.

9. Intellectual Property Rights
You acknowledge that Olrik Denmark owns or is licensed to use all intellectual property rights in this website (including, but not limited to any images, photographs or text which appears on the site). You agree that You will make no representation to the contrary, and that You will not use or copy this website or any part of it in any manner which is inconsistent with the rights of the owner or licensee of such intellectual property rights or is likely to harm Olrik Denmark, its website or its reputation.

All trademarks, logos, text, product getup or style which appear on this website are owned by or licensed to Olrik Denmark or its related corporations and You acknowledge that fact. You must not do anything to prejudice the rights of the owner or licensee to such trademarks, logos, text, product getup or style.

10. Liability
You acknowledge that, to the fullest extent permitted by law, having regard for legislative provisions such as the Trade Practices Act 1974 (Commonwealth) and similarly enacted State and Territory legislation which impose rights, remedies and obligations which cannot be contractually excluded or restricted that Olrik Denmark is not making and has not made any warranty or representation as to the suitability of Olrik Denmark's products or this website for any particular purpose. You agree that in using this website and purchasing goods depicted in it, You are not relying on any statement or representation made by Olrik Denmark which is not expressly contained in this agreement.

Subject to the preservation of any rights attaching to conditions or warranties implied by law as referred to above You agree that any liability of Olrik Denmark arising out of or in connection with any breach of any express or implied warranty or condition in respect of goods or services supplied to You through use of this website will, at the election of Olrik Denmark be limited to:

(a) if the condition or warranty relates to goods, the replacement or repair of the goods or the supply of equivalent goods; and
(b) if the condition or warranty relates to services, the supplying of the services again or the payment of the costs of having the services supplied again.

You agree that the entire risk arising out of installation, downloading, use or performance of any part of this website remains with You. To the extent permitted by law, You release and discharge Olrik Denmark from all forms of direct, special, indirect or consequential loss or damage (including loss of profits, loss of data, or loss or damage which may reasonably have been supposed to have been in the contemplation of You and Olrik Denmark as at the date of this agreement) arising out of or in connection with Olrik Denmark or this agreement, including, without limitation, loss or damage caused by the negligence of Olrik Denmark or its related corporations, servants or agents.

11. Use of Website
You agree to take responsibility for the safekeeping of any username and/or password created to facilitate Your use of this website. You are liable if Your username and password are used by an unauthorised person. You agree to release and indemnify Olrik Denmark in relation to any liability arising out of the unauthorised use of Your username and/or password.
You will not engage in conduct of any kind whatsoever which may or may be designed or intended to damage or interfere with the operation of Olrik Denmark's computer system or website or the computer systems or websites of other users of the website including, but not limited to, by hacking, malicious damage, propagating viruses or worms or by overloading.

12. Changes to Terms
Olrik Denmark may add to, delete or otherwise change any of the Terms of this agreement by giving You notice as provided in clause 16. Your use of the Olrik Denmark website after notice will constitute Your deemed acceptance of such changes.

You may not change any Terms and Conditions or seek to vary these Terms and Conditions by attaching conditions to Your orders or by any other means unless Olrik Denmark agrees in writing to such change or variation.

13. Force Majeure
Any failure on the part of Olrik Denmark to perform its obligations under these Terms and Conditions by reason of strikes, riots, fire, explosions, electronic data loss, act of God, war, terrorism, government action or any cause beyond the reasonable control of Olrik Denmark will not result in any liability on the part of Olrik Denmark.

15. Termination
Olrik Denmark may terminate or suspend this agreement at any time by delivering notice to You (as specified in clause 16). If this occurs termination of this agreement shall be effective from the day notice is received or such later date as is specified in the notice and Olrik Denmark will not be liable to You for any loss, damage or expenses arising directly or indirectly from termination.

16. Notices
Any notice required to be given to You by Olrik Denmark may be given to You by electronic mail, conventional mail to Your address contained in the customer subscription application or notice posted on this website. You may give Notice to Olrik Denmark by electronic mail to support@olrikdenmark.com.

17. Severability
Each of the Terms and Conditions constituting this agreement are severable. Severance does not affect any other provisions.

18. Jurisdiction
The laws of Victoria govern this agreement and any dispute arising out of this agreement which becomes the subject of litigation shall be dealt with in the forum of the Courts of the State of Victoria including those relating to Orders originating from or delivered outside Australia. In this respect the United Nations Convention on Contracts for the International Sale of Goods (Vienna Sales Convention 1980) is specifically excluded.
